1. Partnership Options

Rewards Partner
The uTRAC Rewards program is a simple way to spread the good word of uTRAC's online scheduling platform while also benefiting. Each individual or agency that signs up will receive a 'uTRAC Rewards' code which will enable them to offer discounts (see section 5) and earn referral fees (see section 4).

Sales Partner
The uTRAC Sales Partnership is an flexible way to promote the benefits of uTRAC. Each individual or agency that signs up will receive a 'uTRAC Rewards' code which will enable them to offer discounts (see section 5) and earn referral fees (see section 4). Sales partners may also choose to benefit from additional sales, marketing, and technical tools and support services from the uTRAC team (see section 6).

Technical Partner
uTRAC's Technical Partnership is for businesses that offer complimentary solutions to the uTRAC workforce management application. Technical partners may choose to benefit from a 'uTRAC Rewards' code which will enable them to offer discounts (see section 5) and earn referral fees (see section 4). Technical partners will also gain marketing and technical support from the uTRAC team for the mutual benefit of uTRAC's and the partner's userbase.

To maintain status as a uTRAC Partner, you agree to:

3. Duration of Partnership

Each partnership agreement is effective upon being accepted into any uTRAC Partnership Program by uTRAC and will remain in force until:

  • Superseded by uTRAC at any time effective upon the online publication of updated or modified terms - notice of updates and modifications to this agreement will be communicated to you via email, at the email address on record.
  • This partner agreement is terminated by either party for any reason by providing notice in writing to the other party.

If this partnership agreement is terminated for any reason, you will no longer be able to participate in, or receive the benefits of the program.

4. Referral Fees and Compensation

Each time your unique 'uTRAC Rewards' code is used by a potential uTRAC subscriber, you may become eligible for compensation. If a 'uTRAC Rewards' code is not used, potential subscribers may notify a member of uTRAC that they have been referred by a partner. The partner may become eligible for compensation once verified by the uTRAC team and once they meet the qualifying conditions below.

uTRAC is a monthly subscription service, charged per administrative (admin or manager level) user (license). Partners will receive scaling referral fees relative to the volume of licenses that the new subscriber requires. There are three levels of compensation potentially available from each successful referral:

  • 1-9 Licenses (bronze): The referring partner becomes eligible for payment on subscriber's third month of using uTRAC to the amount of 50% of the customer's third monthly subscription payment (potential $506 per referral).
  • 10-24 Licenses (silver): The referring partner becomes eligible for payment on the subscriber’s sixth month of using uTRAC to the amount of 50% of one quarter’s subscription payment (potential $3857 per referral).
  • 25+ Licenses (gold): The referring partner becomes eligible for payment on the subscriber’s sixth month of using uTRAC to the amount of 50% of one quarter’s subscription payment. You will also become eligible to another payment on the subscriber’s ninth month of using uTRAC to the amount of 50% of one quarter’s subscription payment (potential $9000 per referral).

Please note that referring partners will only become eligible if the potential subscriber has made uTRAC aware of your recommendation within the first 14 days of their subscription (including trial period).

5. Rewards Code and Discounts

All partners will have a unique 'uTRAC Rewards' code which is used to identify the source of each recommendation. Subscribers may also identify referrers to members of the uTRAC team who will then verify membership to this partnership program.

Partners are encouraged to share and promote their uTRAC Rewards code as an exclusive discount to uTRAC's workforce management platform. Each time a new subscriber uses a partner's uTRAC Rewards code when signing up to uTRAC, the subscriber will receive a 10% discount for their first 3 months of using uTRAC.

6. Additional Partner Benefits

Sales partners may choose to utilize additional tools, materials, and support services from the uTRAC team to aid their promotion of uTRAC's workforce management application. Sales partners are encouraged to email sales@utraconline.com for more information about the following benefits:

  • Sales Materials: Documents and media content that demonstrate the benefits of uTRAC to potential subscribers.
  • Training Materials: Documents and media content that assist with user onboarding of uTRAC for potential subscribers.
  • Account Manager: Additional support from member of uTRAC team to aid with promotion, sales, onboarding, and support.
  • uTRAC Access: 1 license to access the uTRAC Online web-application for internal use for demonstration and training purposes.

With accordance to their other obligations included in this agreement, sales partners may also choose to re-sell uTRAC as an IT support service at an agreed price with the uTRAC user (their client). To qualify, sales partners must:

  • Nominate and advise uTRAC who with the business is responsible to all matters related to the billing account. The nominated person will be emailed monthly invoices according to the end-subscriber's selected uTRAC package.
  • Pay invoices sent to their business by uTRAC for use of uTRAC by the end-subscriber within the stated payment deadlines on each invoice. uTRAC bears no responsibility for any service disruption caused by late payments in accordance to the uTRAC Terms of Use.
  • Attain written approval from a uTRAC Account Manager for each new subscription being resold as a 3rd party IT service.
  • Make reasonable endeavours to respond to uTRAC end-users that (their clients) in accordance to the user service level obligations stated in the uTRAC Terms of Use.
  • When required, will liaise with uTRAC technical support staff on behalf of uTRAC end-users (their client).
7. Applicability of uTRAC Term of Use

This Partner Agreement applies in addition to, and should be read in conjunction with, uTRAC’s Terms of Use, which are incorporated in this Partner Agreement by reference to the extent applicable and which govern matters in relation to your (or your client’s) dealings with uTRAC, including limitations on liability, indemnification, intellectual property, and governing law.

You acknowledge and agree that all access (including by Invited Users, as defined in uTRAC’s Terms of Use) to uTRAC’s services will be subject to uTRAC’s then current Terms of Use.

In the event of any inconsistency between this Partner Agreement and uTRAC’s Terms of Use, uTRAC’s Terms of Use will take priority.

8. Relationship of Parties

No agency, partnership, joint venture, or employment is created between uTRAC and you, or your business, because of this Partner Agreement. You are not authorised to create any obligation, express or implied on behalf of uTRAC.

9. Indemnity

You agree to indemnify uTRAC against any and all claims, costs, damages and/or loss that uTRAC may sustain or incur, as a result of any claim by a third party, including your clients and any uTRAC users, arising from: (a) your acts or omissions including, but not limited to, your provision of professional services, implementation support, or other products or services, (b) your breach of this Partner Agreement.
